CEO Foreword 

At Teira, people come first. 

Our strength comes from the competence, commitment, and integrity of our people. We are a decentralized organization built on strong local expertise, and we deliberately place decision-making close to our customers and operations — because that is where knowledge, context, and responsibility come together. 

But decentralization only works when it is matched with accountability. Every decision we make must meet the same high standards for safety, cybersecurity, ethics, sustainability, compliance, and performance — regardless of role, country, or seniority. 

This Code of Conduct defines those standards. It reflects the kind of company we want to build together and the principles we expect each other to live by every day — in how we work with colleagues, serve our customers, and contribute to society. 

I expect every leader at Teira to lead by example, to act when something is wrong, and to create an environment where people feel respected, supported, and safe to speak up. 

And I expect every employee to take ownership of their decisions and actions — and to raise concerns when something does not feel right. Speaking up is not only encouraged at Teira; it is part of our responsibility to each other.

These values describe what we believe in. This Code of Conduct translates those values into practical expectations for how we act every day — in our decisions, collaboration and how we represent Teira externally. 
 
The Code ensures that as Teira grows we continue to operate with integrity, safety, accountability and professionalism.

Local Empowerment & Accountability 

Teira is decentralized by design. Decisions should be made close to customers and operations where knowledge and expertise are strongest.

Local empowerment enables speed, ownership, and responsiveness. At the same time, empowerment requires accountability. Every employee must ensure that decisions respect our ethical standards, legal obligations, and the long-term reputation of Teira.

Authority and responsibility always go together. When we are empowered to make decisions, we are also responsible for making them in line with this Code of Conduct.

Health, Safety, Security & Well‑Being 

Safety and wellbeing are prerequisites for sustainable performance. Teira supports both physical safety and psychological wellbeing.

  • Follow safety and security rules
  • Report accidents and unsafe conditions
  • Support colleagues’ wellbeing

DON'T

  • Compromise safety for deadlines or cost
  • Ignore unsafe behaviour

Psychological Safety & Mental Well‑Being 

Employees perform best when they feel safe, respected and supported. Psychological safety means people can share ideas, raise concerns and learn from mistakes without fear.

DO

  • Create fear, blame or intimidation

Cybersecurity & Information Security 

Teira designs, installs, and operates connected building technologies that integrate digital systems, operational technology, and customer infrastructure. Protecting these systems is essential to ensuring safe, reliable, and resilient building operations.

Cybersecurity is therefore a shared responsibility across the entire organization. Every employee plays a role in protecting Teira, our customers, and our partners from cyber risks.

Strong cybersecurity practices help protect:

  • critical building systems
  • customer data and operational information
  • company intellectual property
  • the continuity of our services

All employees must follow company cybersecurity policies and take appropriate precautions when using digital systems, devices, and information.

DO

  • Protect company devices, systems, and information from unauthorized access
  • Use strong passwords and follow authentication requirements
  • Be cautious of suspicious emails, links, or requests for information
  • Report phishing attempts or suspected cybersecurity incidents immediately
  • Follow company cybersecurity policies and IT security procedures

DON'T

  • Share passwords or access credentials with others
  • Install unauthorized software or connect unapproved devices
  • Ignore security warnings or suspicious digital activity
  • Delay reporting potential security incidents

If you are unsure whether a situation may pose a cybersecurity risk, contact your manager or the IT  team immediately.

Protecting digital systems is essential to maintaining the trust our customers place in Teira.

Data Protection & Privacy 

Trust depends on responsible handling of information. Teira protects personal and business data and complies with applicable privacy laws including GDPR.

Fair Competition & Anti‑Corruption 

Teira competes through competence, innovation and trusted partnerships. Long‑term success is built on integrity and fair competition.

  • Offer or accept bribes or improper advantages

Supplier & Business Partners 

Teira works closely with suppliers, subcontractors, and business partners to deliver safe, reliable, and innovative solutions for our customers.

We expect our partners to share our commitment to integrity, safety, quality, sustainability, and responsible business conduct. We expect the same high standards from our partners that we expect from ourselves.

When selecting and working with suppliers and partners, Teira employees must ensure that decisions are made objectively and based on legitimate business criteria such as quality, competence, reliability, price, and ethical standards.

Suppliers and partners working with Teira are expected to:

  • comply with applicable laws and regulations
  • respect human rights and fair working conditions
  • maintain safe and healthy workplaces
  • prevent corruption and unethical business practices
  • protect confidential information and data
  • follow appropriate cybersecurity and information security practices

Teira may require suppliers and partners to comply with our Supplier Code of Conduct and may take appropriate action if serious violations occur.

Building strong, responsible and true partnerships is essential to delivering value to our customers and maintaining trust across our value chain.

External Communication & Use of Teira Brand 

Employees represent Teira in interactions with customers, partners and the public. Responsible communication protects our reputation.

  • Speak on behalf of Teira without authorization

Speaking Up 

At Teira, speaking up is an important part of living our values and protecting our people, customers, and company.

We encourage every employee to raise concerns if something appears unsafe, unethical, illegal, or inconsistent with this Code of Conduct. Addressing concerns early helps prevent problems and strengthens our culture of integrity and accountability.

Concerns can be raised through several channels, including:

  • your direct manager
  • another trusted leader
  • Human Resources
  • the company’s whistleblowing or ethics reporting channels

We understand that speaking up can sometimes feel difficult. At Teira, we are committed to creating an environment where people feel safe to raise concerns, ask questions, or report issues.

Teira strictly prohibits retaliation against anyone who raises a concern or reports misconduct in good faith. Retaliation itself is considered a serious violation of this Code.

If you are unsure whether something is appropriate, ask questions and seek guidance. When in doubt, speaking up is always the right thing to do.

Silence can allow problems to grow. Speaking up helps protect each other and the company.

What This Code Means for Leaders 

Leaders must act as role models, ensure teams understand this Code, encourage open dialogue and address concerns fairly and promptly.
